1. Nature of the Service

The Bashert Exchange is a private, referral-based matchmaking database and introduction

platform. It is not a dating service and does not guarantee matches, introductions,

relationships, or outcomes of any kind. Participation is discretionary and subject to

approval.

2. Application Fee, Vetting & Database Inclusion

Participation as a Vetted Database Member requires submission of an application,

completion of identity and profile verification (which may include a FaceTime, Zoom, or

similar live video call), and payment of a non-refundable application fee. The fee covers

administrative review, vetting, verification of identity and profile details, and entrance into

a private vetted matchmaking database.

Payment of the application fee guarantees entrance into the vetted database only and does

not guarantee matches, introductions, referrals, communication, dates, relationships, or

outcomes of any kind.

3. Vetted vs. Non-Vetted Database Members

Only vetted members who have completed verification, paid the application fee, and been

approved may be considered for referral to independent professional matchmakers, at the

sole discretion of The Bashert Exchange. Non-vetted database members, whose information

may be collected passively or through third parties, are not eligible for referrals,

introductions, or active matchmaking consideration.

4. Matchmaking Activity & Discretion

All matchmaking-related activity, including outreach, referrals, profile sharing, timing,

selection, and introductions, is conducted solely at the discretion of The Bashert Exchange

and may be limited, delayed, declined, or discontinued for any reason or no reason at all,

without notice and without refund. After a 6 -month period, the active membership becomes a passive membership.

5. Data Use, Consent & Third-Party Disclosure

By submitting an application, participants expressly consent to The Bashert Exchange using

and sharing submitted information for matchmaking-related purposes, including sharing

profiles with independent professional matchmakers and posting profiles within private,

invitation-only professional groups.

While The Bashert Exchange exercises discretion in sharing information for matchmaking-

related purposes, it does not control independent third parties and cannot guarantee

confidentiality once information is shared.

All databases, compilations, selection criteria, methodologies, and proprietary structures

are the exclusive property of The Bashert Exchange. Participation does not grant any

ownership interest, license, access right, or control over the database or its contents.

6. Custom Profile Use and Distribution Policy

By participating in The Bashert Exchange, members acknowledge and agree that Profile Materials may not be copied,

reposted, redistributed, published, shared, submitted, or otherwise used in outside Facebook groups, matchmaking

groups, websites, dating platforms, social media platforms, or other third-party forums without the prior written consent of

The Bashert Exchange.

This policy is intended to protect:the integrity of The Bashert Exchange vetting and matchmaking process; the curated

and private nature of the member community; professional matchmaking relationships and referral networks developed

by The Bashert Exchange; andthe substantial time, effort, creativity, and proprietary work involved in creating custom

member profiles and introductions. Members understand and acknowledge that unauthorized reposting or distribution of

Profile Materials may undermine the purpose of the Bashert Exchange matchmaking and vetting process by allowing

outside parties to independently contact members outside of the curated system. If a member is no longer actively

participating in The Bashert Exchange, permission may be requested to continue using Profile Materials independently.

Any such permission shall be granted solely at the discretion of The Bashert Exchange. The Bashert Exchange reserves

the right to remove any member from participation, deny future participation, or revoke member privileges for violation of

this policy. All custom-written Profile Materials remain the proprietary creative work product of The Bashert Exchange

unless expressly authorized otherwise in writing.

7. No Guarantees & amp; Assumption of Risk; Release

Matchmaking is inherently subjective and unpredictable. Except for database inclusion as

expressly stated, no representations or warranties are made. Participants interact with

others at their own risk. The Bashert Exchange is not responsible for the conduct, actions,

communications, representations, omissions, or safety of any participant, matchmaker,

prospective date or third party. By submitting your information to The Bashert Exchange,

you are agreeing to release and hold harmless The Bashert Exchange and its officers,

directors, shareholders, employees, agents, successors and assigns from and against any

and all claims, damages (including damages for personal injury), liabilities, losses costs and

expenses arising out of the use and/or dissemination of all information so provided,

including without limitation the use of such information by third party matchmakers and

any dates that may result therefrom but excluding claims solely arising out of the gross

negligence or intentional misconduct of an indemnified party.

8. Non-Refundable Fee & Right to Remove

The application fee is non-refundable under all circumstances. Participation may be

suspended or terminated at any time, with or without notice and without refund, at the sole

discretion of The Bashert Exchange.

9. Future Matchmaking Services

Any personalized matchmaking, concierge services, or paid introductions, if offered in the

future, will be optional, separately priced, and governed by a separate written agreement.

The application fee does not include matchmaking services.

10. Governing Law, Venue & Jurisdiction

This Agreement is governed by the laws of the State of California, without regard to any

conflicts of law. Exclusive jurisdiction and venue for any dispute shall be in the state or

federal courts located in County of Orange, State of California. Activities performed from

other states, including Georgia, are incidental and do not alter governing law or venue.

11. Mandatory Arbitration & Class Action Waiver

Any dispute arising out of or relating to this Agreement shall be resolved by binding

arbitration administered by the American Arbitration Association located in Orange County,

, seated in California. Participants waive the right to a jury trial and the right to participate

in any class, collective, or representative action.

12. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining

provisions shall continue in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between the participant and The Bashert

Exchange regarding the subject matter hereof and supersedes all prior or contemporaneous

communications.

14. Electronic Signature, Payment & Acknowledgment

By clicking “I Agree,” submitting payment, or otherwise electronically accepting this

Agreement, the participant acknowledges that they have read, understood, and agreed to

these Terms. Electronic acceptance constitutes a legally binding signature under the E-SIGN

Act and UETA

Payment of the application fee constitutes acceptance of these Terms as a condition of

participation.
